1. Acceptance of Terms

By accessing or using Rox Teddy ("the Service"), operated by Primas Group (primas.net), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

The Service is provided by Altus Entertainment LLC ("Altus Entertainment," "we," "our," or "us"). These Terms form a binding agreement between you and Altus Entertainment LLC.

2. Description of Service

Rox Teddy is a performer scheduling platform designed for live entertainment operations. The Service provides tools for scheduling performers, managing availability, tracking attendance, and related workforce management functions.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Responsibilities

You agree to:

Provide accurate and complete information when creating an account
Use the Service only for lawful purposes
Not interfere with or disrupt the Service or servers
Not attempt to gain unauthorized access to any part of the Service
Comply with all applicable laws and regulations

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Rox Teddy and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

6b. Billing, Subscriptions, and Payments

Paid plans are offered on a subscription basis and billed in advance on a recurring monthly or annual cycle, depending on the plan you select. Fees, billing frequency, included usage, and any overage charges are described on our Pricing page and are presented at checkout before you confirm your purchase. All fees are stated in U.S. dollars and are exclusive of any applicable taxes, which may be added at checkout based on your location.

Subscriptions automatically renew at the end of each billing period at the then-current rate until canceled. You may cancel your subscription at any time from your account or by contacting support; cancellation takes effect at the end of the current paid billing period, and you will retain access to paid features until that period ends. We may change pricing or plan features with reasonable advance notice; changes will take effect on the next renewal.

Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By placing an order, you also agree to Paddle's Buyer Terms, which govern payment, billing, tax, invoicing, and refund mechanics.

Refund eligibility and how to request a refund are described in our Refund Policy. Failure to pay any fees when due may result in suspension or termination of access under Section 11.

6a. SMS Messaging Program

Primas Group operates an SMS messaging program through the Rox Teddy platform for users who opt in to receive text messages. By providing your mobile number and opting in, you agree to the following terms:

Program description: Operational scheduling notifications, including schedule changes, call-time alerts, check-in links, shift offers, confirmations, and account-related alerts.
Message frequency: Recurring messages; frequency varies based on your scheduling activity.
Cost: Message and data rates may apply. Check with your mobile carrier for details.
Opt-out: Reply STOP at any time to unsubscribe from SMS messages.
Help: Reply HELP for assistance, or contact support through the Service.
Supported carriers: Major U.S. carriers are supported. Carriers are not liable for delayed or undelivered messages.
Consent: Opting in to SMS is not a condition of using the Service. Consent is collected at sign-up, when you provide your phone number, or when you enable SMS in your notification preferences.
Privacy: Mobile information collected as part of this program is handled in accordance with our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice.

8. Limitation of Liability

To the maximum extent permitted by law, Rox Teddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

9. Indemnification

You agree to indemnify and hold harmless Rox Teddy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

11. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
